Terms of Service

By accessing the website vidivici.ai or the vidivici mobile app (the "Service"), you accept these terms. If you do not agree, do not use the Service. To use the app you must be at least 16 years old and have legal capacity to contract.

vidivici is a B2B field operations platform combining:

• Live video calls between field crew and remote supervisor.
• Automatic transcription of audio and AI-generated summaries.
• Management of notes, photos and action items derived from each session.
• Push and email notifications for relevant alerts.
• Optional smart glasses integration (in development).

The service is provided "as is" and "as available". It may evolve, change or be discontinued with reasonable notice.

To use the app you need an account linked to an organization. Accounts are created by invitation from an organization administrator or, in some cases, by direct signup approved by vidivici.

You are responsible for maintaining the confidentiality of your password and for all activity under your account. Notify us immediately at hola@vidivici.ai if you detect unauthorized use.

You agree NOT to use the Service for:

• Illegal, fraudulent activities or activities that infringe third-party rights.
• Recording people who have not consented to being recorded in jurisdictions where consent is required (see §6).
• Distributing malware, spam or infringing content.
• Reverse-engineering, decompiling or attempting to extract the source code of the Service.
• Deliberately overloading the infrastructure (DoS, mass scraping).
• Impersonating identity or using the service on behalf of another person without authorization.
• Sharing credentials with people outside your organization.

We may suspend or terminate your access if we detect material violation of these terms.

You retain ownership of the content you create or that is generated during your sessions (audio, transcripts, notes, photos, comments). By using the Service you grant us a limited, non-exclusive, worldwide, royalty-free license to process, store and display your content only to operate the Service for you and members of your organization.

This license includes allowing us to send transcribed text to AI providers (Anthropic, Deepgram) to generate summaries and action items. These providers are contractually prohibited from using your content to train their models. See Privacy Policy §4 and §9.

You are responsible for having necessary rights over the content you upload or generate (including consent from people appearing in photos or calls).

vidivici video calls are transcribed live. Consent laws for recording vary by jurisdiction:

• Two-party consent (e.g. California, Florida, several European countries): all parties must consent.
• One-party consent (e.g. most US states, Dominican Republic): consent from one party is sufficient.

It is your responsibility to inform call participants that they are being recorded/transcribed and to obtain their consent when applicable law requires it. vidivici cannot determine the jurisdiction applicable to each call.

The name vidivici, the logo, the website copy, the app design, the source code, the AI prompt models and all published documentation are property of vidivici or its licensors. Nothing in these terms transfers ownership of our intellectual property to you.

Some features of the Service may require a paid subscription. Pricing, billing cycles and included features will be clearly disclosed before subscription.

• Payments are processed by a certified external provider. vidivici does not store card numbers.
• Subscriptions auto-renew unless cancelled before the end of the cycle.
• Refunds per the specific policy of each plan, communicated at purchase time.

You can close your account at any time from within the app (Profile → Settings → Delete account). See Privacy Policy §7 for the data deletion process.

We may suspend or terminate your access, with reasonable notice where possible, if:

• You materially violate these terms.
• Your use puts the security or stability of the Service at risk.
• A court order or competent authority requires it.
• We discontinue the Service (with at least 30 days' notice).

The Service is provided "as is" and "as available". We make reasonable efforts to keep it operational and secure, but we do not guarantee uninterrupted availability, total absence of errors, or that AI will produce results without inaccuracies.

To the maximum extent permitted by law, vidivici will not be liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost data or lost business opportunity arising from use or inability to use the Service.

vidivici's aggregate liability to you for any claim related to the Service will not exceed the greater of (a) what you paid vidivici in the 12 months preceding the event giving rise to the claim, or (b) USD 100.

You agree to indemnify vidivici against third-party claims arising from (a) your use of the Service in violation of these terms, (b) your content, or (c) your violation of third-party rights (including recording without consent where the law requires it).

We may update these terms. The version in force is the one published at vidivici.ai/legal/terms with the header date. Material changes will be notified by email to active users at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

These terms are governed by the laws of the Dominican Republic. Any dispute that cannot be resolved in good faith will be submitted to the exclusive jurisdiction of the competent courts of Santo Domingo, except where the user's mandatory local legislation provides otherwise.

• If any clause is declared invalid, the rest remains in force.
• Failure to exercise a right does not imply waiver of that right.
• You may not assign your rights under these terms without our prior written consent.
• These terms together with the Privacy Policy constitute the entire agreement between the parties regarding the Service.
